Who You Are:

We’re hiring a business-minded, hands-on General Counsel to be TickPick’s first in-house lawyer and to build our legal function from the ground up. Reporting to the Chief Financial & Administrative Officer and working directly with our co-founders and leadership team, you’ll own legal strategy and execution across the company — balancing risk, speed, and pragmatism in a business that operates at national scale with a small team.

This is a generalist,  “builder” role where you’ll run the company’s legal function, setting priorities, advising the business, and managing risk across teams.  You’ll be expected to leverage AI and modern legal practices to streamline workflows, manage  outside counsel budgets, and raise the overall effectiveness of the legal function.

Responsibilities:

• Commercial & partnerships: Lead negotiation of partnership agreements with teams, leagues, venues, and media/affiliate partners, plus customer, vendor and technology agreements

• Consumer-facing policies: Own terms and conditions, privacy, cookie and other policies and advise on trademarks, advertising, promotions, and giveaways.

• Disputes and legal requests: Manage litigation, consumer claims, investigations and other disputes.

• Regulatory and compliance: Partner with Finance on sales-tax and marketplace-facilitator obligations, corporate filings, and lender/investor reporting requirements. Own governance, compliance and risk frameworks.

• M&A and strategic transactions: Lead the legal workstream on acquisitions and other strategic transactions, including diligence coordination, quarterbacking outside counsel, and integration support.

• Government affairs: Monitor state and federal laws and licensing requirements impacting our industry, translate changes into operational updates, and manage related lobbying relationships and outside consultants. Represent TickPick in industry coalitions and with regulators

• Employee relations and equity administration: Partner with the People team on employment matters including offer letters, onboarding docs, handbook/policies, employee relations issues, separation agreements, visa/immigration compliance, and management of equity grant issuance.

• JD and active bar membership in good standing (New York Admission, out-of-state members will be required to join the NY bar).

• Minimum 8+ years of relevant legal experience with a combination of law firm and in-house counsel experience required, with a minimum of 3 years in-house. Ideally as the senior or sole lawyer somewhere lean.

• Demonstrated experience in regulated industry, commercial contracting, and cross-functional counseling.

• Experience in a role with broad legal and compliance scope in a lean or early-stage environment.

• Ability to operate independently and build an AI native legal function from the ground up. Hands-on experience with legal ops tools and AI or automation to improve legal throughput and consistency.

• Ability to manage outside counsel efficiently and effectively.

The estimated pay range for this role, based in New York City, is $225,000 - $250,000. This role will be eligible to participate in our company’s equity program. Our salary ranges are based on paying competitively for our size and industry, and are one part of many compensation, benefits, and other reward opportunities we provide.

Individual pay rate decisions are based on a number of factors, including qualifications for the role, experience level, skill set, and balancing internal equity relative to peers at the company.

Job Summary

The Director of AI Governance sits within Quality, Regulatory, and Compliance and is responsible for designing, developing, and managing DeepHealth’s AI Governance program and strategies. The role promotes safe, legal, and ethical use of AI across the organization in partnership with Information Security, Data Privacy, Vendor Management, Ethics, Legal, and IT.

Essential Duties and Responsibilities

• Develop and implement AI Governance strategies aligned with organizational goals and ethical standards.

• Design, implement, and maintain an AI Governance framework aligned with applicable standards and regulations, including NIST AI RMF, ISO 42001, and the EU AI Act.

• Develop and maintain policies, guidelines, and documentation for responsible development and deployment of AI tools.

• Integrate AI governance into existing compliance and risk management processes with cross-functional partners.

• Provide expert advice to internal teams and, as needed, to clients on AI governance and compliance matters.

• Evaluate vendor compliance with legal, ethical, and security standards related to AI tools and features.

• Oversee AI risk assessments and maintain AI inventories and catalogues consistent with legal and regulatory requirements.

• Review contracts and draft language related to AI and new technologies in partnership with Legal.

• Design and deliver training to build awareness of AI governance principles.

• Partner on audits of compliance with the AI framework and applicable legislation, and mentor team members as the function grows.

Requirements

Minimum Qualifications, Education and Experience

• Bachelor’s degree in AI, Cybersecurity, Information Security, or a related field, or equivalent practical experience (required).

• 5 to 10 years of progressive experience in AI compliance, AI governance, or closely related compliance/risk work in healthcare, medical technology, or another highly regulated industry (required).

• Proven experience developing and implementing AI compliance or governance strategies (required).

• Working knowledge of AI governance frameworks and regulations such as NIST AI RMF, ISO 42001, and the EU AI Act (required).

• Excellent written and oral communication skills, including explaining complex concepts to diverse audiences (required).

• High level of integrity and confidentiality (required).

• 12+ years of legal experience, at a top law firm or in house, with 5+ years of in-house privacy and/or product counseling experience.
• Demonstrated experience implementing and managing a successful privacy compliance program in a fast paced, product-forward environment.
• Experience with global privacy laws and industry guidelines, especially including those relevant for tech platforms like Reddit.

About the Role

Nium is seeking a Head of Commercial Compliance, Americas to serve as the senior Compliance partner to our commercial organization. This role will work closely with Sales, Business Development, Partnerships, Account Management, Product, and Legal to identify regulatory considerations early and enable compliant commercial opportunities across the region. This leader will act as a bridge between the commercial organization and Nium’s country compliance teams, ensuring local regulatory considerations are incorporated into commercial strategy and execution.

The successful candidate will provide practical guidance on complex enterprise relationships, particularly platforms and marketplaces that use Nium’s solutions to serve their own merchants or customers. This is a commercial advisory role focused on structuring deals, entering new verticals, and supporting responsible growth. The role will also provide compliance guidance for relationships with bank partners, card networks, stablecoin networks, and other payment infrastructure partners.

This role does not directly own regulatory relationships or license-protection responsibilities. However, the successful candidate will bring a deep understanding of these areas and apply that knowledge to provide practical guidance to commercial teams.

Key Responsibilities

• Serve as the senior Compliance advisor to Nium’s commercial leadership and go-to-market teams across the Americas.
• Engage early in the sales and business-development process to identify compliance considerations and help structure viable solutions.
• Partner closely with Sales, Business Development, Partnerships, Account Management, Product, Legal, Financial Crime Compliance, and regional Compliance teams.
• Act as the primary bridge between commercial teams and country compliance teams, connecting commercial priorities with local regulatory requirements, risk appetite, and compliance guidance.
• Advise on strategic opportunities involving platforms, marketplaces, enterprise clients, bank partners, and other complex commercial relationships.
• Provide compliance advisory support for the management of relationships with bank partners, card networks, stablecoin networks, and other payment infrastructure partners.

• Support the development of compliant solutions for new verticals, customer segments, use cases, products, and payment flows.
• Provide practical guidance on AML/CTF, sanctions, KYC/KYB, customer and partner due diligence, acceptable-use requirements, licensing considerations, and payment regulations.
• Participate in customer and partner discussions when senior Compliance involvement is needed to explain Nium’s requirements, controls, or proposed solutions.
• Assess higher-risk or nonstandard opportunities and recommend appropriate controls, conditions, or risk-mitigation measures.
• Coordinate the resolution of compliance questions and escalations that could affect commercial negotiations, onboarding, implementation, or launch.
• Help commercial teams understand Nium’s risk appetite and identify potential compliance obstacles before significant time or resources are committed.
• Translate regulatory requirements into clear, actionable guidance for commercial and business stakeholders.
• Maintain a deep understanding of Nium’s regulatory relationships and license-protection obligations, leveraging that knowledge to guide commercial decisions without directly owning those responsibilities.
• Develop scalable commercial compliance frameworks, playbooks, and decision-making standards for the Americas.
• Identify recurring barriers within the commercial process and partner with relevant teams to improve policies, controls, and workflows.
• Deliver targeted training to Sales, Business Development, Partnerships, Account Management, and other customer-facing teams.
• Provide senior leadership with visibility into material commercial compliance risks, emerging trends, significant decisions, and unresolved issues.
• Represent the Americas within Nium’s broader commercial compliance and advisory framework.

Requirements

• 12+ years of progressive experience in compliance, regulatory risk, financial crime, legal, or a related function within payments, fintech, banking, or financial services.
• Significant experience advising commercial, sales, business-development, partnership, or account-management teams.
• Experience supporting or managing compliance matters involving bank partners, card networks, stablecoin networks, or other payment infrastructure partners.
• Strong knowledge of cross-border payments, money movement, payment platforms, bank partnerships, and complex B2B customer relationships.
• Experience supporting platforms, marketplaces, embedded-finance providers, payment facilitators, or other businesses with underlying merchants, sellers, or customers.
• Deep understanding of relevant compliance areas, including AML/CTF, sanctions, KYC/KYB, customer due diligence, licensing, and payments regulation.
• Experience serving as - or working closely with - an MLRO, BSA Officer, Chief Compliance Officer, or country compliance leader.
• Demonstrated ability to connect commercial teams with country compliance, regulatory, or licensing stakeholders in a regional or global organization.
• Demonstrated ability to apply regulatory knowledge to commercial opportunities and develop practical, risk-based solutions.
• Strong understanding of the regulatory environment in the United States, with meaningful exposure to Canada and/or Latin America.

Preferred Qualifications

• Experience with enterprise payments, marketplaces, embedded finance, payment APIs, payment facilitation, or banking-as-a-service models.
• Experience supporting large enterprise customers, financial institutions, payment partners, or complex distribution models.
• Familiarity with U.S. money-transmission requirements, FinCEN regulations, OFAC sanctions requirements, and Canadian or Latin American payment regulations.
• Experience engaging directly with external customers, bank partners, auditors, or regulators.
• CAMS, CRCM, legal qualification, or another relevant compliance certification.
• Spanish or Portuguese language capabilities are beneficial but not required.

$184,000 - $230,000 a year

Salary ranges are dependent on a variety of factors, including skills, qualifications, experience, and geographic location. The Role

As Hazel’s Head of Legal & Compliance, you will serve as the company’s senior in-house lawyer and compliance leader. You will provide practical legal advice across healthcare regulatory matters, corporate and entity governance, employment, commercial contracts, privacy, enterprise compliance and risk. You will personally handle the recurring legal work that can be done effectively in-house and manage specialized outside counsel for matters that genuinely require external expertise.

A central first-year mandate is to reduce Hazel’s reliance on outside counsel without sacrificing rigor. You will bring high-volume and repeatable work in-house, establish templates and playbooks, improve matter intake and budgeting, and build a disciplined legal operating model. You will report administratively to the VP of People & Operations, work closely with the CEO and senior leadership team, and have direct access to the Board or its designated committee on material legal, compliance and risk matters.

This is a hands-on leadership role for a lawyer who moves comfortably between strategy and execution. You will draft and negotiate agreements, advise business leaders, assess regulatory questions, manage sensitive matters and create the infrastructure Hazel needs to operate efficiently with a lean internal team.

What You’ll Do

• Legal Operating Model & Outside Counsel Spend: Lead a structured review of legal matters and spend; determine what should move in-house, remain with specialized firms, or be supported by lower-cost vendors. Establish matter intake, budgets, billing guidelines, preferred-counsel relationships and alternative fee arrangements. Deliver measurable reductions in outside legal spend while maintaining appropriate quality and risk management.
• Commercial Contracts: Own legal strategy and negotiation for district and health-plan customer agreements, payer contracts, partnership agreements and material vendor MSAs. Build practical templates, fallback positions and escalation thresholds so routine work moves quickly and consistently. Partner with Growth, Finance, Operations and Security on high-stakes terms.
• Healthcare Regulatory & Telehealth: Advise on the legal and regulatory requirements affecting Hazel’s mental and physical health services, including telehealth, provider licensure, scope of practice, prescribing where applicable, corporate-practice-of-medicine considerations and the boundaries between administrative and clinical decision-making. Handle recurring questions internally and engage state or specialty counsel when targeted expertise is warranted.
• Entity Structure & Corporate Governance: Maintain Hazel’s multi-entity legal architecture, including its MSO/PC structure, PC owner arrangements, intercompany services and lease agreements, foreign qualifications and governance records. Maintain a clear entity map and coordinate with Finance, Clinical leadership and outside counsel as Hazel enters or exits states or modifies its structure.
• Compliance Program & Governance: Lead Hazel’s enterprise compliance program and maturity roadmap, including policies, training, monitoring, reporting, investigations, corrective actions and clear escalation pathways. Steward the Compliance Committee and regular Board reporting. Partner with operational owners to maintain controls aligned with applicable healthcare-program and OIG guidance.
• Privacy, Security & Data Governance: Serve as or oversee the designated Privacy Officer role and advise on HIPAA, FERPA, state student-data privacy, data use, vendor obligations and responsible AI governance. Establish the legal and compliance framework for incident response, minimum-necessary access and regulatory reporting while partnering with Security, Technology and Operations leaders who own technical implementation.
• Employment & Workforce Matters: Partner with People leadership on reductions in force, WARN analysis, separations, releases, investigations, leave and accommodation processes, employee relations and multi-state employment compliance. Personally handle recurring counseling and documentation while using employment specialists selectively for novel or high-risk matters.
• Enterprise Risk & Investigations: Maintain a prioritized legal and compliance risk assessment; advise leadership and the Board on risk appetite and mitigation; oversee regulatory inquiries, internal investigations and corrective-action planning; and ensure appropriate independence and privilege protocols for sensitive matters.
• Specialty Matters: Manage outside counsel for financing and M&A, complex litigation, government investigations, malpractice and professional-liability defense, intellectual property, tax and novel state-specific regulatory work. Set a clear brief, define decision rights, control scope and spend, and integrate external advice into practical business action.

What Excites Us

• Legal Qualifications: A JD from an accredited law school and active membership in good standing in at least one U.S. jurisdiction are required. You bring approximately 6-10+ years of progressively responsible legal experience, including meaningful in-house work in healthcare or a closely related regulated industry.
• Healthcare Generalist Judgment: You have a strong foundation in healthcare regulation and compliance and can translate complex and evolving regulatory requirements into practical operating guidance. Experience with virtual care, behavioral health, pediatric care, managed care, school-based healthcare or multi-state provider operations is especially valuable.
• Compliance Program Leadership: You have built, operated or materially advanced a healthcare compliance program. You are familiar with HIPAA, healthcare privacy and security, Medicaid billing integrity, fraud, waste and abuse controls, OIG compliance frameworks, training, monitoring, investigations and Board reporting. FERPA or student-data privacy experience is a plus.
• Commercial & Employment Fluency: You are a strong contract drafter and negotiator who can support revenue and strategic relationships without creating unnecessary friction. You are also comfortable advising People teams on sensitive workforce matters and know when specialized employment counsel is appropriate.
• Healthcare Entity Experience: You understand the practical implications of operating through an MSO and affiliated professional entities. Experience with PC governance, intercompany arrangements, multi-state qualifications or corporate-practice-of-medicine issues is strongly preferred.
• Builder Mentality: You create systems, templates and playbooks rather than solving the same problem repeatedly. You use technology thoughtfully, improve workflows and are willing to perform important work personally. You do not require a large internal team to be effective.
• Outside Counsel Discipline: You know how to select and manage firms, define scope, challenge unnecessary work, negotiate fees and determine when external expertise creates real value. You are motivated by delivering better legal support at a materially lower total cost.
• Executive Communication & Independence: You exercise sound judgment, communicate clearly with clinical and business leaders, and are comfortable raising difficult issues. You understand the distinct responsibilities of legal counsel and compliance leadership and can report candidly to senior management and the Board.
• Mission Alignment: You care deeply about expanding access to pediatric care through schools and building the disciplined, trusted infrastructure that enables Hazel to deliver an outsized impact.
